Just meant to be humor.

If you really want, it's just like registering any other company. I think u can do fairly easily online also with sites like legalzoom. Now building client and gainting business is other story . You want to run genuine service company or just shady placement shop that's other story .

surely it was humourous, the business of ghiraula is already set up. you can be partner/advisor or CEO, the position is open, trying to add to the humor :)

are there any other sites that can be considered? I am surely looking at legalzoom, Can we also hear from people who have successfully used the site to get the IT consulting business created? Any fore thoughts during registration?

It is good to see Nepali brothers and sisters stepping up and moving into entrepreneurship than sticking with odd jobs.

Here's your do it yourself kit :)
  1. Register a company as a S Corp or C Corp or LLC. You can do this yourself at Secretary of State office or through hundreds of online incorporating websites such as legalzoom, incfile etc. Greencard holders and citizens can open any of these corporations. Non green card and non US citizen can only open LLC or C Corp i think, but check with a good CPA.
  2. Get EIN Number from IRS Website
  3. Get a Corporate Office Lease
  4. Get the city business license
  5. Get your domain, build website, issue professional emails to your team
  6. Open Business Account
  7. Register with iupdate.dnb.com for business credit history
  8. Apply for business credit cards
  9. Find candidates, issue them offer letter, stay in touch, update them regularly of placement efforts you are engaged in
  10. Register with Dice.com, Indeed.com, Monster.com, Ziprecruiter.com to get the resume and well as to find the positions
  11. Negotiate terms, rates, duration, requirements for each placements, do rate confirmation, sign Agreement with vendors, sign Purchase Order for each placements
  12. Sign up with ADP, Paychex to run payroll, pay state and federal taxes, get State unemployment tax IDs and sign up with State Employment Department
  13. The Agreement and Purchase orders with vendors are usually for 45 days net pay, which means the vendor will pay you the agreed amount for the hours your consultant worked only after 45 days, in some cases 60 days or longer. Make sure you have the funds to run payroll for your consultants, regardless of payment from the vendor or not.
  14. You must have 2 to 3 months of payroll and taxes amount per consultant with you to run the payroll and pay taxes. For example, if your consultant's purchase rate is $60/hr and you are paying the candidate $45/hr you must have $$45x40 hrsx4 weeks=$7200 x 3 months = $21000 per consultant available with you. The vendor will pay you in 45 to 60 days $60x40 hrs x 4 weeks = $9600 for month 1 after 2 months. $9600 for month 2 in 90 days and $9600 for month 3 in 120 days. Your breakeven for the consultant 1 will be in month 4 when you have recouped $7200 from profits.
  15. Take into account, the operating costs, rent, operations, software and sign ups, accounting, payroll sites, staff, office expenses etc, which will push your breakeven for candidate 1 to roughly 5 to 6 months away.
  16. Avoid risks of working with companies and vendors with bad reputation. Do your research, some big companies delay payments for 6 months to a year which can get you in a huge loss. Some of them never pay. make sure your contract is solid and sue them if they don't pay you timely.
  17. Most importantly treat your consultants nicely, pay them more than the market price, gain trust, use good immigration team if they need sponsorship, process their green card without any delay to help them achieve their goals.
  18. File Business taxes timely, declare profits, pay taxes. gradually improve the company's net worth
  19. After 1 year of operations, apply for business loan at kabbage.com or your bank or credit union
  20. Open a Nepal company too, outsource work to Nepal if possible, create jobs in Nepal, sponsor Nepali IT talents to give them opportunities in the land of opportunity
  21. After 5 years of operations, return to Nepal and retire. Your US team will continue the business where you continue to make $500/hr in Nepal ** Terms and Conditions Apply

Good luck with your entrepreneurship. The above list is based on first hand experience i witnessed while working at one IT consultancy :)

** $500/hr in net profit is based on 50 consultants placed with a net profit of $10/hr per consultant. That's place and retain 10 candidates a year x 5 years = 50 candidates. $1040000 per year that's Rs 10,40,00,000 per year and if you put it in fixed deposit at 14% per annum for 1 year it generates Rs14,56,000 per year just in interest that's Rs 1,21,00 per month just in interest.
